Ballston Spa House and Garden Club Bylaws ARTICLE I NAME AND PURPOSE Section 1 The name of the club will be Ballston Spa House and Garden Club Section 2 The object of the club will be as follows: To promote interest in good gardening, civic improvement, conservation of the natural resources of our country and to study the art of flower arranging. Section 3 Said organization is organized exclusively for charitable, religious, educational or scientific purposes, including, for such purposes, the making of distributions to organizations that qualify as exempt organizations under section 501 © (3) of the Internal Revenue Code, or corresponding section of any future federal tax code. No part of the net earnings of the organization shall inure to the benefit of, or be distributable to its members, trustees, officers, or other private persons, except that the organization shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth in the purpose clause hereof. No substantial part of the activities of the organization shall be the carrying of propaganda, or otherwise attempting to influence legislation, and the organization shall not participate in or otherwise intervene in (including publishing or distribution of statements) and political campaign on behalf of any candidate for public office. Notwithstanding any other provision of this document, the organization shall not carry on any other activities not permitted to be carried on (a) by an organization exempt from the federal income tax under section 501 (c) (3) of the Internal Revenue Code, or (b) by an organization, contributions to which are deductible under section 170 (c) (2) of the Internal Revenue Code, or corresponding section of any future federal tax code. Upon the dissolution of the organization, assets shall be distributed for one or more exempt purposes within the meaning of section 501 © (3) of the Internal Revenue Code, or corresponding section of any future federal tax code, or shall be distributed to the federal government, or to the state or local government, for a public purpose. Any such assets not disposed of shall be disposed o the Court of Common Pleas of the country in which the principal office of the organization is then located, exclusively for such purposes or to such organization or organizations, as said Court shall determine, which are organized and operated exclusively for such purpose.
ARTICLE II MEMBERSHIP Section 1 The club will be limited to 25 members. All members must be interested in gardening. There shall be 10 meetings a year none in July and August. Section 2 All members shall make at least two arrangements for flower shows sponsored by the club. Section 3 The membership shall consist of residents of the greater Ballston Spa area who are willing to comply with the purposes of the club. Prospective members shall be introduced to the president and other officers prior to being welcomed into membership. Members are required to participate actively in the projects of the club, to attend its monthly programs and to pay annual dues.
ARTICLE III OFFICERS Section 1 The officers of the club shall consist of a President, a Vice President, a Recording Secretary and a Treasurer. Section 2 All officers shall be elected at an Annual Meeting to serve a two-year term. The President shall appoint a Nominating Committee consisting of three members to be selected for the ensuing two years. Other names may be presented from the floor at this Annual meeting.
ARTICLE IV STANDING COMMITTEES Section 1 There shall be the following standing committees: Program, Conservation, Library, Ways and Means, Historical, Village Beautification, Sunshine and Telephone.
ARTICLE V MEETINGS Section 1 The regular meeting of the club shall be held on the 2nd Thursday of the month at 1:00 p.m. Monthly meetings shall be held in the homes of the members.
ARTICLE VI DUES Section 1 Annual dues shall be $25.00 payable at the first meeting of each year.
ARTICLE VII PARLIMENTARY PROCEDURE Section 1 Roberts Rules of Order will be used to conduct meetings. The President will appoint all committees and be an honorary member of these committees. She or they will generally be responsible for the promotion of all activities of the Club. No President will hold office more than two years. The Vice President will conduct the meeting in the absence of the President. The Recording Secretary will keep the minutes of all meetings and preserve all records entrusted to her care, and attend to the official correspondence of the club and shall perform such other duties as the President may desire. The Treasurer shall be the custodian of the funds of the club. She will give monthly reports. Annual reports will be given by the President and the Treasurer.
ARTICLE VIII DISTRIBUTION OF BY-LAWS Section 1 Copy of the By-laws will be given to all members of the Club.
AMENDMENTS Amendment 1 In order to amend the constitution the amendment shall be proposed at one meeting and voted on at the next meeting by 2/3 vote of members present. Amendment 2 No member or officer shall have the authority to enter into any verbal or written agreement in the name of the Club without the approval of the majority of the Club members.
